The right legal form for your company
When starting a business, the first question that often arises is the ideal legal form. A multitude of factors must be considered when making this decision. Legally, particular considerations include corporate law, accounting law, and, of course, tax law. The question of corporate liability and any possible limitation of liability is also regularly of considerable importance.
Company name with clarity and certainty
The so-called “company name” refers to the name under which a company or business is registered and which it uses in its business transactions. A notary can assist you in choosing a permissible company name and in answering any questions you may have.
The company name should generally be chosen in such a way that it clearly identifies the company and is sufficiently distinguishable from other companies. Any risk of confusion with existing companies must be eliminated. In any case, the company name must include an appropriate suffix that provides information about the respective legal form.
Registration and changes in the commercial register
If a company is registered in the commercial register, various changes that are significant for legal transactions must also be entered in the commercial register. This applies, for example, to:
- Changes in management; granting/expiration of a power of attorney
- Changes in the company name
- Changes in the registered office; opening of branches
- Changes in the shareholder structure of general partnerships (OHG), limited partnerships (KG), and registered partnerships (eGbR)
- Changes to the articles of association or the articles of association of limited liability companies (GmbH) and stock corporations (AG)
Notarization is required for the registration of facts that require registration in the commercial register. The notary regularly prepares the text of the registration and verifies its correct implementation in the commercial register. The notary also informs the client about all questions arising in connection with the registration and handles correspondence with the registry court.
